1. Introduction
These Poolside, Inc. Trademark Guidelines (”Guidelines”) apply to your use of Poolside Marks. Poolside develops and releases open source software and models. We want developers, researchers, and the open source community to be able to write about, build on, and promote that work without unnecessary friction. These Guidelines describe what you can do without asking, what requires permission, and what is not permitted. Poolside reserves the right to modify these Guidelines at any time and will take appropriate action against any unauthorized use or use that does not conform to these Guidelines.
2. Definitions
“Poolside Marks” means trademarks, service marks, names, logos, or other designations owned by Poolside, including but not limited to: (i) Poolside and the Poolside logo; (ii) Poolside-related product names, service names, and logos; and (iii) all other names and logos associated with Poolside products, services, events, programs, and initiatives. You can access Poolside Marks in the Press Kit.
3. License
Except as expressly permitted in these Guidelines or in a separate written agreement with Poolside, you may not use Poolside Marks without Poolside’s prior written permission. Any permitted use of Poolside Marks is at your sole risk. Poolside has no liability or responsibility in connection with your use. This license is provided as-is, without any warranty.
4. Limitations and Approvals
Uses expressly permitted by these Guidelines, including nominative use, open source community use, and publications described in Sections 12, 13, and 14, do not require Poolside’s prior approval. All other uses require Poolside’s prior written authorization. Poolside may revoke any permission granted under these Guidelines at any time upon written notice.
5. No Affiliation or Endorsement; No Dominant Display
You will not misrepresent or embellish your relationship with Poolside. You will not display Poolside Marks in any manner that implies sponsorship or endorsement by Poolside other than as specifically authorized. You will not display any Poolside Mark larger or more prominently than your own branding in materials associated with your products or services.
6. Quality Control; Manner of Use
You must use Poolside Marks in a manner that maintains or exceeds the high standard, quality, and reputation associated with Poolside. Upon request, you will provide samples of materials featuring Poolside Marks for compliance review. You will not use Poolside Marks to disparage Poolside or its products/services or display Poolside Marks in any manner that is misleading, unfair, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable. You will not use Poolside Marks in violation of any law or regulation. You will not display any Poolside Mark on your website whose content or activities would violate Poolside’s Acceptable Use Policy.
7. No Combination
You will not combine, abbreviate, telescope, or hyphenate Poolside Marks with any other words, trademarks, or brand elements. You will not incorporate Poolside Marks into the names of your organization, products, or services, or into your trademarks or logos. However, this section does not prohibit the relational descriptors permitted under Section 12 (e.g., “YourApp for Poolside” or “built with Poolside”), provided those uses comply with the requirements of that section. For the avoidance of doubt, you may not use “Poolside” or any Poolside Mark as the first or dominant word in the name of your product, service, or organization.
8. Logo Display
Poolside will supply logo images for any permitted use. You will not alter logo images in any manner, including changing proportion, color, or font, or adding or removing elements. Poolside Marks must appear by themselves with reasonable spacing between each side of the logo and other elements. Poolside Marks should not be placed on any background that interferes with readability or display. You will comply with any graphics standards provided by Poolside.
9. Trade Dress
You will not imitate the trade dress or “look and feel” of any Poolside website, including branding, color combinations, fonts, graphic designs, product icons, or other elements associated with Poolside.
10. Domain Names; URLs
You will not register any domain name that contains a Poolside Mark or any variation or modification thereof, or use any Poolside Mark in a subdomain. However, you may use Poolside Marks in the URL path or subdirectory (Example: www.example.com/poolside) solely for content related to Poolside, provided such use complies with these Guidelines. Poolside may also permit, on a case-by-case basis, community or open source project domain names that reference a Poolside Mark (for example, a domain for a community plugin or integration), provided the site (a) prominently displays a disclaimer stating it is not affiliated with or endorsed by Poolside, (b) is not used for commercial purposes, and (c) has received prior written approval from Poolside. 11. Exclusive Rights; Goodwill
You acknowledge that all rights to Poolside Marks are the exclusive property of Poolside and all goodwill generated through your use of Poolside Marks will inure solely to Poolside’s benefit. Nothing in these Guidelines constitutes an assignment of any right, title, or interest in Poolside Marks, except for any limited licenses granted. You will not take any action conflicting with Poolside’s rights in or ownership of Poolside Marks. You will not attempt to register any trademarks, service marks, trade names, logos, domain names, or other designations that include Poolside Marks.
12. Nominative Use
You may use Poolside Marks without prior approval for nominative fair use: that is, to accurately refer to Poolside, its products, or its open source software where no reasonable alternative exists and where your use does not suggest sponsorship or endorsement by Poolside. The following are examples of permitted nominative use:
If you want to reference Poolside in connection with your own product, service, or event, use the following format:
Format: [Your Brand or Use Case] [relational phrase] [Poolside Mark]
Example: YourApp for Poolside
You may replace “for” with any of the following relational phrases, provided the term is accurate: “for use with”; “with”; “compatible with”; “works with”; “built on”; “built with”; “developed on”; “developed with”; etc.
Without prior approval, you may also: (a) use Poolside Marks in blog posts, tutorials, presentations, videos, or social media posts that discuss or demonstrate Poolside software, provided the content is accurate and does not imply affiliation or endorsement; (b) use Poolside Marks in README files, documentation, or other materials for open source projects that integrate with or build on Poolside software; and (c) refer to Poolside Marks in conference talk titles or abstracts where the talk is about Poolside software. All such uses must be in plain text (no logos) unless Poolside has separately authorized logo use.
13. Third Party Publications
You may use screenshots, code samples, diagrams, and excerpts from Poolside documentation in books, articles, blog posts, tutorials, and other publications without prior approval, provided the use is accurate, not misleading, and does not suggest affiliation or endorsement by Poolside. Publications should include a notice identifying “Poolside” as a trademark of Poolside, Inc. wherever trademarks are customarily acknowledged. Commercial publications (such as books sold for profit) that make significant use of Poolside content should contact legal@poolside.ai to discuss appropriate attribution and any applicable terms.
14. Open Source Community Projects and Integrations
Developers building open source plugins, extensions, libraries, or other integrations that work with Poolside models and software may use Poolside Marks to accurately describe the integration, subject to the following conditions: (a) the project name must use the relational format described in Section 12 (e.g., “YourTool for Poolside”) and must not incorporate a Poolside Mark as the first or dominant element; (b) the project must include a clear disclaimer stating it is not affiliated with or endorsed by Poolside, Inc.; (c) the project must be open source and made available under an OSI-approved license; and (d) the project must not misrepresent the capabilities or behavior of Poolside software. Commercial products or services built on Poolside software that wish to use Poolside Marks beyond these parameters should contact legal@poolside.ai to discuss a written agreement.
